This Agreement is an agreement entered into between BaishanCloud and you regarding your use of the services of BaishanCloud. Before you use the service of website of BaishanCloud,you must carefully read and thoroughly understand this Service Agreement, and choose to accept or not to accept the terms of this Service Agreement after fully understanding. By completing the "Agreed Terms and Registration" or by beginning to use the services of BaishanCloud in any other way, it means that you have read and agree to be bound by this Service Agreement. If you do not agree to this Service Agreement or any of its provisions, you should not proceed to the next step or stop the registration process.

1. Contracting Subject and Scope of this Agreement

1.1 BaishanCloud User Service Agreement is an agreement entered into between you and Lingchuanfeng (Guizhou) Information Technology Co., Ltd. (hereinafter referred to as "BaishanCloud" or "We") and its Affiliates for the use of the services of website of BaishanCloud (including providing you with website page information browsing and account registration services, etc.). BaishanCloud website contains the website with the domain name of www.baishan.com. BaishanCloud  Affiliates includes  Beijing Shuju Xinyun Information Technology Co., Ltd.,  Shanghai Yundun Information Technology Co., Ltd.,Anhui Xinyun Jiaxun Information Technology Co., Ltd.  etc.

1.2 The term "you" or "user" means a visitor or member. If you want to become a member and use the service, you must read this Agreement to indicate that you have accepted it during the registration process. If you accept this Agreement, you have the ability to be bound by it, or if you represent a/an company or entity, you have full authority and right to make that entity be bound by it.

1.3 The service agreement, service rules, instructions, standards, etc. (hereinafter referred to as "User Service Rules") involving the service content, service level, technical specifications, operation documents, charging standards, etc. of specific services shall be subject to the contents displayed on the relevant pages of the website, and you may still need to confirm the service terms corresponding to specific services; Please carefully read and fully understand the terms and conditions, and choose to accept or not to accept the terms and conditions of the service.

2. Intellectual Property Rights

2.1 The intellectual property rights of the BaishanCloud website LOGO, "BaishanCloud", "BAISHANCLOUD" and other words, graphics and their combination, as well as other logos, emblems, service names and technical documents of the website of BaishanCloud are owned by BaishanCloud and its Affiliates. Without written authorization of BaishanCloud, no one shall display, use or do other processing (including but not limited to reproduction, transmission, etc.) in any way, nor shall you show to others that you have any right to it.

2.2 The intellectual property rights of all products, services, technologies and all procedures of BaishanCloud website (hereinafter collectively referred to as "Technical Services") are owned by BaishanCloud or its obligee.

2.3 Without your consent, we will not use, modify, copy, publicly disseminate, change, distribute, issue or publicly publish the results which you own the intellectual property rights.

2.4 If any natural person, legal person or other organization believes that the webpage content of BaishanCloud website (such as reprinted articles, etc.) may infringe its legitimate rights and interests, it may submit a notice of right to BaishanCloud in writing, and BaishanCloud will deal with the matter as soon as possible according to law after receiving the effective notice from the intellectual property right holder.

3. Registration, Use and Security of the Account

3.1 Registration of the account

3.1.1 You confirm that you shall be a natural person, legal person or other organization with full capacity for civil rights and full capacity for civil conduct when you complete registration or use the service of BaishanCloud in any other way.

3.1.2 If you are a minor or a person with limited civil capacity, you do not have the aforementioned subject qualifications, and you and your guardian shall bear all consequences and responsibilities for all your actions on the website.

3.1.3 You also need to ensure that you are not the object restricted by trade restrictions, sanctions or other laws and rules imposed by any country, international organization or region, otherwise you may not be able to register and use the services of BaishanCloud normally.

3.1.4 After you fill in the information, read and understand this Service Agreement and complete all registration procedures according to the prompts on the user registration page of BaishanCloud. You will become a user of BaishanCloud. However, you need to pay attention that your account name shall not violate national laws and regulations, management norms of BaishanCloud or easily cause confusion between you and other users or the identity of BaishanCloud, otherwise your account may not be registered successfully or we have the right to cancel after notifying you.

3.1.5 The account name you have registered and password set will become your account after successful registration.

3.1.6 You shall provide and update your account information in a true and accurate manner. If the information provided by you is wrong or incomplete, BaishanCloud may issue or push an inquiry and/or correction notice to you. You shall timely provide or update the relevant information in accordance with our requirements. You shall be liable for all consequences (including but not limited to your inability to use the services provided by us, account failure, account freezing or cancellation, etc.) caused by the inauthenticity or incompleteness of the information and materials you fill in.

3.1.7 Before you use or open the service of BaishanCloud, you will be required to conduct identity authentication or qualification verification. At that time, you need to provide more identity information and data, and only after you pass these authentications and verifications, you can be qualified to use or open these services.

3.2 Use of the account

3.2.1 You can log in to the BaishanCloud website through your account information, and start to use specific services after completing authentication or verification.

3.2.2 BaishanCloud may notify or prompt you to proceed with the next operation by email, in-station letter, SMS or telephone. During the service process, you should log in to the BaishanCloud account in time to check the service progress and conduct the transaction operation.

3.2.3 An account can only correspond to a single legal entity. Unless expressly required by law, by judicial order or with the consent of BaishanCloud, you may not transfer, donate or allow others to inherit your BaishanCloud account in any way.

3.3 Registration and Linking of Associated Platform Accounts

3.3.1 Associated Platform Registration: When registering for a BaishanCloud account (website: baishan.com, hereinafter referred to as “this platform” or “BaishanCloud platform”), clicking or checking the option "Agree to register/ Link Shanghai Yundun and Baishan Intelligent Computing Platform Accounts“ or similar options, you consent and authorize us to automatically activate accounts for you on Shanghai Yundun (website: yundun.com, hereinafter referred to as ”Shanghai Yundun“) and Baishan Intelligent Computing (website: ai.baishan.com, hereinafter referred to as ”Baishan Intelligent Computing") (collectively referred to as the “Associated Platforms” in this Agreement). You authorize us to transmit your identity verification information to the Associated Platforms to ensure you can use their services normally. The initial information for the Associated Platform accounts will be consistent with the account information you registered on this Platform (including but not limited to account name, login password, etc.).

3.3.2 Automatic Account Linking: If you already possess an account on the Shanghai Yundun platform and/or the Baishan Intelligent Computing platform prior to registering for the BaishanCloud platform (and the core identity identifiers of the corresponding linked platform account registration information match your BaishanCloud platform registration information, such as mobile number, email address, etc.), clicking or checking the option "Agree to Register/ Link Shanghai Yundun/Baishan Intelligent Computing Platform Account" or similar option during BaishanCloud Platform registration, you consent and authorize us to link your BaishanCloud Platform account with your existing Shanghai Yundun and/or BaishanIntelligent Computing Platform accounts. You authorize us to verify account ownership consistency through core identity verifiers. After linking, you may log in to the Associated Platforms via BaishanCloud Platform without re-entering passwords.

3.3.3 Automatic Password-Free Redirection: While logged into this platform, you may automatically redirect to Shanghai Yundun or Baishan Intelligent Computing Platform via designated entry points without re-entering Associated Platform credentials. During redirection, we will transmit your identity verification results from this platform to the Associated Platform for identity confirmation.

3.3.4 Service Usage: Automatically activated Associated Platform accounts are subject to each platform's user agreements and relevant rules. You must comply with the terms of the corresponding platform when using its services. You may access related services through designated entry points on this platform or by directly logging into the Associated Platforms.

3.3.5 Account Management: You retain management authority over all Associated Platform accounts automatically activated and/or linked through these terms. Any risks or losses arising from improper management of your own accounts shall be borne solely by you.3.4 Security of the account

3.4.1 You should set and keep your account and password by yourself.

3.4.2 If you find that others use your account and password without authorization, you should notify us immediately; We will assist you to freeze your account, change your password or make other security settings; You understand that it takes a reasonable amount of time for BaishanCloud to take action on your request, and you will be responsible for the consequences (including but not limited to any loss to you) that have occurred prior to taking action and are caused by you.

3.4.3 BaishanCloud will take reasonable technical measures on the website server to ensure the security of the account.

4. Freezing, Cancellation and Appeal of the Account

4.1 Freezing of the account

4.1.1 Your account may have all or part of its permissions or functions frozen under the following circumstances, and we will inform you via by email, in-station letter, SMS or telephone:

1.Violating this Service Agreement, the relevant rules, norms (such as trading rules and management norms), service descriptions and other service agreements/terms of BaishanCloud website;

2.Violating the provisions of laws, regulations, policies or legal documents of the State;

3.You are complained by others, and the other party has provided relevant evidence, but you do not provide contrary evidence according to our requirements;

4.The competent authority of the State has requested a freeze;

5.Based on our reasonable judgment, you have other circumstances of the same nature as the above actions or which create a risk similar to the above.

4.2 Cancellation of the account

4.2.1 If the circumstances set out in Article 4.1 occur and are serious, or based on the request of the competent authorities of the State, all or part of the permissions or functions of your account will be cancelled, and we will inform you via by email, in-station letter, SMS or telephone, etc.

4.2.2 If you need to cancel your account, you can submit an account cancellation application through "Console - Account Management - Settings - Cancellation Account" on the "Cancellation Account" page of BaishanCloud website, and you may also contact us through our staff to assist you in applying for cancellation.

4.2.3 You understand and agree that if there is no unexpired service under your account and you have not logged into BaishanCloud website through your account for 18 consecutive months, BaishanCloud has the right to cancel your account. You will no longer be able to log in to the BaishanCloud website unless you register again.

4.2.4 You understand and agree that once your account is canceled, you will: be unable to log in to the BaishanCloud Shield website, app, etc. again; be unable to access the control panel or cloud site control panel; be unable to perform other operations that rely on account permissions; and be unable to retrieve personal information, transaction records, business data, historical information, etc. under that account. However, account cancellation does not mean that all account activities and related responsibilities prior to account cancellation are exempted or mitigated..4.3 Appeal of the account

If the aforementioned account is frozen or cancelled, you should pay attention to it immediately and operate according to the relevant procedures:

4.3.1 As for the freezing or cancellation of your account, you should follow the instructions of the procedure and wait for the verification of BaishanCloud after providing your identity certificate and other relevant materials, information or documents. You should fully understand that your request may not be allowed. We reserve the right to decide whether to accept your appeal request based on the actual situation, and you have no objection to this.

5.Privacy and personal information protection

5.1 To enable us to respond to your enquiries promptly, we will enter the contact information or account data you provide (including your name, email address, phone number and job title), as well as your company's basic information and project service information, into our Customer Relationship Management (CRM) system. The service consultant assigned to you will have access to this information and may contact you as necessary.

5.2 Once you have cancelled your account, BaishanCloud will no longer have the right to collect, store or use your personal information and data, except where required by law, such as for tax compliance purposes. Please note that account cancellation does not affect BaishanCloud's obligation to confirm the true identity of the user legally before account cancellation, in accordance with regulatory authority requirements or other legal scenarios.

6. Use of Automatic Installation Tools and Other Technologies

6.1 Automatic installation tools

6.1.1 You may choose to allow us access to third parties with your consent, such as DNS providers and registrars, so as to complete the automatic registration process. If you choose to do so, you expressly authorize us to act as your agent to maintain, access and update the account information of confirmed third parties on your behalf.

6.1.2 When you use the automatic installation function of the service, you will be directly connected to the third-party website you determine. We will provide information including user name and password to log in to the website you provide. You hereby authorize and allow us to use the information (such as user name and password) provided by you to complete the above configuration and service, so that it is compatible with the third-party website where you submit your information.

6.1.3 We will store your username and password for no longer than necessary time to complete your request or the duration of your current session. For the purpose of this Agreement and as part of the services to provide account information only, you grant us a limited license to access third party websites, retrieve and update your information with full rights and do and perform whatever is necessary in the state of these activity links, just like you are doing it personally.

6.2 Visitor use and abuse records

6.2.1 As a visitor to BaishanCloud website and a user of BaishanCloud service, you agree that your Internet Protocol Address will be recorded and your activities will be monitored to prevent abuse. Abuse includes but is not limited to: trying to obtain unauthorized access of service, other account, computer system or network link of service through password mining or any other means, transmitting any virus, Trojan Horse, worm, time bomb, cancelbots or any other harmful or toxic procedure, interfering with or destroying the network connected to service or violating regulations, policies or disciplines of such network, creating a false identity or otherwise attempting to mislead others to use the identity of BaishanCloud’s users, intentional or unintentional violation of any applicable national or international law.

6.3 Records of your visitors

6.3.1 When using certain services of BaishanCloud, you can choose to monitor the traffic of some of your websites. In this case, you agree that you use BaishanCloud as your limited agent for the purpose of providing you with Internet data and optimized services.

6.3.2 You acknowledge that it is your responsibility to confirm that your use of all the services of BaishanCloud is permitted by the laws of your jurisdiction, and if your use of our services violates the local laws, you agree to compensate and guarantee that we are harmless. 

6.3.3 You agree to indemnify and defend BaishanCloud from and against any claims arising out of your failure to comply with this provision and/or your failure or refusal to comply with the terms of the provisions of BaishanCloud and any applicable privacy policies.

6.4 Limit non-cached HTML

6.4.1 You acknowledge that the service of BaishanCloud is to provide a platform for caching service web pages and web sites and is not suitable for other purposes, such as remote storage. You understand and agree to use the service to manage and publish web pages, and provide a client-side view through a browser, HTML, or other technology.

6.4.2 The service of BaishanCloud is also a shared web caching service, which means that a large number of customer websites are cached from the same server. To ensure that our service is reliable and effective for most users, the use of one customer should not adversely affect the performance of other customers' websites. In addition, the purpose of our service is to host the website, not to store data. It is forbidden to use an account as online storage space, including storing or caching a disproportionate picture, movie, audio file or other non-HTML content.

6.4.3 You agree that we can freeze or cancel your account if you are found to have violated this part according to our discretion, or bring improper burden or potential adverse effects to the system of BaishanCloud, or bring potential adverse effects to other users, server processing power, server memory, abuse the controls or other reasons.

6.5 Licenses of access and services In consideration of access to home.console.baishan.com and its services, BaishanCloud grants you a limited license to access the website and for personal use. This License Agreement prohibits you from downloading (other than page caching), or modifying any part of it, except with the express written consent of BaishanCloud. This Agreement does not allow resale of the services of BaishanCloud. Without the express written consent of BaishanCloud, you shall not use the framework technology or attach any trademark, logo or other proprietary information (including image, text, web page layout or form). You may not use any metadata label or any other "hidden text" using the name or trademark of BaishanCloud without the express written consent of BaishanCloud. Any unauthorized use automatically terminates the permission or license granted by BaishanCloud and may result in various legal liabilities for damages. You are granted a limited, revocable and non-exclusive right to create a hyperlink to any non-password protected directory, provided that the hyperlink does not depict BaishanCloud, its website or its services with false, misleading, defamatory or other offensive content. You may not use any of BaishanCloud's proprietary graphics or trademarks as part of the link without the written permission of BaishanCloud.

6.7 Links The services of BaishanCloud may provide, or third parties may provide links of other World Wide Web sites or resources. As we have no control over such websites and resources, you acknowledge and agree that BaishanCloud is not responsible for the availability of such external websites or resources, does not agree nor is it responsible for any content, advertising, products, materials or origin of such websites or resources. You further acknowledge and agree that BaishanCloud shall not be liable for any direct or indirect losses caused by the use or reliance of any such content.

7. Website Services and Specifications

7.1 You are entitled to enjoy the Internet technical services and information services provided by BaishanCloud through the website. You will also be responsible for performing timely payment and service management in accordance with this Agreement, the relevant terms and conditions confirmed by you when purchasing the specific services, and the relevant rules and specifications of the website.

7.2 You shall ensure that:

7.2.1You may not post, convey, disseminate, cache or store the following information and content through the services of BaishanCloud, or have the following situations:

(a) Information or content that violates any national laws, regulations, policies, political propaganda/advocacy or news;

(b) Information involving state secrets or security;

(c) Information involving feudal superstition, obscenity, eroticism, indecency, violence or information which has (may have) instigation, guidance of crime or affects personal life safety;

(d) Information that violates national (regional) ethnic and religious policies;

(e) Information that infringes, hinders or violates Internet security;

(f) Information that infringes any person's rights, including but not limited to the right to privacy, copyright, right to trade secret protection, patent or other intellectual property rights or similar laws or regulations;

(g) Other information or content that infringes the legitimate rights and interests of others or damages social order, public security, public interest or morality or violates the relevant rules of this Agreement/the website.

7.2.2 If you violate the above warranty, BaishanCloud has the right to delete information, interrupt/terminate the service, and freeze or cancel part or all of the functions of your account according to relevant service agreements/rules/instructions.

8. Scope and Limitation of Liability

8.1. You understand and agree that you are liable for any third-party claims arising out of your use of the service, breach of this Service Agreement or any action taken under your account. If BaishanCloud and its Affiliates, employees, customers and partners are claimed by third parties as a result of this, you shall be responsible for handling and indemnify BaishanCloud and its Affiliates for all losses and liabilities incurred thereby.

8.2. To the extent permitted by applicable laws, BaishanCloud shall not be liable for any indirect, punitive, special or derivative losses related to or caused by this Service Agreement.

8.3. BaishanCloud hereby reminds that you shall abide by the laws of the People's Republic of China when using our services, and shall not endanger network security or engage in activities that infringe others' reputation, privacy, intellectual property rights and other legitimate rights and interests by using our services. BaishanCloud shall not be liable for any illegal act or breach of contract by you using the services of BaishanCloud.

8.4. If you obtain any products or services from third parties through the use of the BaishanCloud website, you acknowledge and agree that the relevant third-party service provider will be responsible to you for the services it provides, and BaishanCloud shall not be held liable for any such third-party services.

9. Agreement Association and Application

9.1 Agreement Consent and Review: Agreements of Associated Platforms such as Baishan Intelligent Computing and Shanghai Yundun are independent agreements between you and the Associated Platforms. They regulate specific service content including corresponding service processes and technical permissions for Baishan Intelligent Computing and Shanghai Yundun services.

By accessing Associated Platforms via BaishanCloud Platform's login-free service, you acknowledge that you have read and agree to comply with all terms of the Associated Platforms＇ agreements. If you only accept one agreement, you may not use BaishanCloud Platform's login-free redirection service. This platform does not display Associated Platforms＇ agreements; you may review the latest agreement content at any time via the “Legal Terms” or similar entry point on the Associated Platforms＇ page.

9.2 Application of Agreements: Matters concerning BaishanCloud Platform's network services and login-free redirection services shall be governed by the BaishanCloud Platform Agreement. Where the BaishanCloud Platform Agreement lacks explicit provisions, relevant clauses pertaining to “account login” within the Associated Platforms＇ agreements may serve as reference. Matters concerning “Specific Services of Associated Platforms” shall be governed primarily by Associated Platforms＇ agreement. Where provisions on the same matter differ between the two agreements, collaborative liability matters shall be governed by the terms more favorable to your rights and interests, while independent liability matters shall be governed by their respective agreements.

9.3 Agreement Updates:　BaishanCloud has the right to amend the provisions of this Agreement as well as the corresponding regulations, rules, and service specifications. Any and all changes to this Agreement will be announced or notified in one or more of the following ways, such as web page announcement, E-mail, in-station letter, SMS, etc. In addition, this Agreement will always show the date it was last modified. If you continue to use the service of BaishanCloud after the content of this Service Agreement is changed, it means that you have fully read, understood and accepted the modified content and will follow the modified terms and contents. Amend the provisions of this agreement as well as the corresponding regulations, rules, and service specifications.

10. Notice and Delivery

10.1 You understand and agree that, BaishanCloud send notices to you in one or more of the following ways, such as web page announcement, E-mail, in-station letter, SMS, telephone, system message and instant messaging, and the BaishanCloud can trust that the contact information provided by you is true, accurate and effective. The above notice shall be deemed as delivered upon successful delivery.

10.2 Unless otherwise specially agreed between you and BaishanCloud, notices sent by you to BaishanCloud shall be delivered through the mailing address, email and other contact information officially published by BaishanCloud.

11. Force Majeure and Accidents

You acknowledge and confirm that BaishanCloud website and its services are provided based on the current technology and circumstancesand conditions that can be achieved. We will make every effort to ensure the continuity and security of the services. However, we cannot predict nor prevent legal, technical, or other risks at all times. To the extent permitted by law, in case of any force majeure or unforeseeable events that prevent us from providing services, you agree not to hold us liable for any damages or compensation.

11.1 Due to natural disasters, strikes, riots, wars, government acts, judicial administrative orders and other force majeure;

11.2 Due to power supply failure, communication network failure and other public service factors;

11.3 Caused by factors beyond the independent control of BaishanCloud, including but not limited to hacking attacks, viruses, and abnormal operation of your own software or hardware equipment.

11.4 System maintenance of BaishanCloud upon prior announcement or notice.

12. Miscellaneous

12.1 If the government or regulatory authorities require, BaishanCloud can temporarily block the page or even the entire website, but we will notify users at the same time.

12.2 This Service Agreement consists of the content of this Service Agreement, the rules and specifications displayed on the relevant pages of the website, the service description (including the operation document) and other terms/conditions that you click to confirm. Both BaishanCloud and you are bound by it, and the relevant terms in it can be quoted and interpreted mutually.

12.3 The section headings in the articles of this Service Agreement are for convenience only and have no legal or contractual effect.

12.4 Any provision of the articles of the Service Agreement shall be deemed to be annulled, invalid or unenforceable, and such provision shall be deemed to be divisible without affecting the validity and enforceability of other articles of this Service Agreement and other provisions.

12.5 You agree that unless otherwise expressly specified in the terms of service, there shall be no third-party beneficiary for this Agreement, and you agree that your BaishanCloud account shall not be transferred without the written consent of BaishanCloud.

12.6 BaishanCloud shall have the right to transfer all or part of the rights and obligations of the service to its Affiliates by means of announcements, in-site notices or email notices on BaishanCloud's official website.

12.7 The validity, interpretation, modification, execution and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. Any dispute arising from this Agreement shall be submitted to the People's Court of Chaoyang District, Beijing for settlement.

12.8 Unless otherwise agreed, for the sake of service professionalism, BaishanCloud may also entrust its Affiliates or other legal entity provide you with one or more of the specific service on BaishanCloud website, at the same time, you may enter into terms or conditions with such companies, please carefully read and fully understand the terms and conditions, choose to accept or not to accept the terms and conditions.
